HOLIDAY LETOLOGY - CLIENT AGREEMENT FOR THE PROVISION OF A SHORT-TERM RENTAL WEBSITE and PMS

1.INTRODUCTION

This Agreement is between Holiday Letology Limited, hereinafter referred to as "Holiday Letology," or "Company" or “us” and you, hereinafter referred to as the "Client." for the provision of The Host Tech Service.

The Host Tech Service is a Set Up Service using Smoobu PMS and integrated Website. Once set up, this will be handed over to the client for you to manage the pricing, calendar and services provided by the PMS

2. SCOPE OF SERVICES

a. Client's Responsibilities:

- You will set up your Smoobu and Stripe account prior to our first call

- You will need to have an airbnb account and if you want us to connect to booking.com and/or VRBO, these accounts will need to be in place prior to working with us.

- You will be required to provide a link to us for the booking widget integration into the webpage from Stripe

- You will provide access to Airbnb either via a link or by allowing the Company to take over your computer during a call.

- You will designate a single point of contact for effective communication throughout the project.

- You agree to provide all necessary information as requested on the provided Google form and drive.

b. Holiday Letology's Services:

Done For you PMS and Website Set up:

- Holiday Letology will design and develop a simple short-term rental  website using the Smoobu platform and template, which will be linked to the PMS Smoobu and the Stripe payment processing system.

- The website will be based on the following example, (providing client has purchased the items in this example) https://thesanctuary.smoobu.net/en/

- The setup will include the PMS provided by Smoobu with standard pricing, including:

Channel Manager set up for up to 2 properties (additional properties can be purchased separately)*

- PMS connection to up to 3 OTA’s that have been already set up by you: Airbnb, Booking.com, VRBO (VRBO is calendar only)*

- x up to 3, 30 minute calls with us - set up x 2 and handover x 1 (additional calls can be booked at £60ph during the set up period, or client can purchase the Tech Guidance :Package Below

- x 2 30 minute calls for PMS only package*

- Initial Rates Synchronisation and OTA % adjustment – 1 weekend rate and 1 weekday rate (you will learn how to adjust these as required)

- Reservation/booking system*

- Integration of Stripe payments*

- Holiday Letology will supply standard booking terms and conditions and a privacy policy for you website. If preferred, you can provide your own booking terms/privacy policy for use or adapt the terms supplied.

PMS only Package:

The PMS elements outlined above marked with a star* above and below are provided or available at an additional cost for the PMS only package,

Additional features that can be purchased (if not already included in your purchased package):

- Guest communications set up (choice of templated text to be provided by us for client to adapt for own use or clients existing scheduled communication from airbnb)*

- Guest guide set up using our template for client to complete*

- Set up of Link to reviews via Elf Site direct from your existing OTA’s

- Set up of Availability calendar to go on your website

- Housekeeper Instant Notification email set up*

- Digital check in/registration form set up*

- Link to PriceLlabs and set up (client to register account)

- Link to your google map - (client to pre-set up their google map listing)

- Link to your custom domain - client to pre-purchase custom domain)

Additional Add on: On-Boarding Tech Guidance Package:

- The Host Tech Service provides Set Up of the items outlined above. However we appreciate that clients have different levels of comfort with new technology and may desire additional support and guidance in order to fully understand the new PMS system and make full use of the features provided.

- To keep Set up costs down, we have pulled together a separate, low cost Tech Guidance Package to help those clients who feel it would be useful to get to grips with their new PMS, so that they can confidently make changes to things such as pricing, the calendar, communication and the website. 

The package provides:

- Once a week group Q&A IT session (time to be determined by Holiday Letology)

questions to be answered by email with a 36 hour SLA

- You will be able to request this via email or via the google forms at any time and you will be sent a link to the payment page (which will need to be paid in advance)

By purchasing our On-Boarding Tech Guidance package, you agree to:

- Payment for the first months support must be made in advance via the provided payment page

- You will then continue to be charged automatically monthly in advance for future support

- You can cancel this at any time, by emailing either amanda@holidayletology.com or jonathan.wakeham@gmail.com

- You will be able to continue to join calls and email us during the notice period until the end of that billed period month, any unused time for that month will not be refundable

- Cancellations within 24 hours of purchase are eligible for a full refund; no refunds are available thereafter

- We are not liable for any indirect, incidental, or consequential damages, and total liability will not exceed the amount paid for the Service.

- We reserve the right to modify these terms at any time, with changes effective immediately upon posting.

- Continued use of the Service signifies acceptance of any updates.

- We will confirm a weekly time and this may change depending on IT availability.

- If support is not available for one week due to a holiday or illness, email support will still be provided

3.COST AND PAYMENT

Payment in full as outlined on the order form or payment link provided

Any additional costs, such as the Smoobu ownership and Stripe and OTA fees, shall be paid by client

4.DELIVERY AND TIMESCALES

- The project is subject to a Service Level Agreement (SLA) with an aimed completion timeframe of 3 weeks from the point of receiving the order, payment and necessary materials from you.

- Delays caused by incomplete or delayed submission of information by you may affect the project timeline.

- Once the project is completed, the ownership of the website and PMS  and any future changes required will be your responsibility.

- You will be briefed on how to make changes to the web pages, how to use the PMS system, and where to find Smoobu 'help' videos.

- Support is provided based on the SLA provided however are subject to change based on availability of Company and may change at any time.  Client will be notified of any changes.

5.OWNERSHIP AND RIGHTS

Upon full payment, you shall be the owner of the developed short-term rental website on Smoobu’s terms of service. Holiday Letology retains the right to showcase the completed work in its portfolio and any subsequent reviews of the project.

6.CONFIDENTIALITY

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project. However, comments and reviews made about the project may be shared by company to promote their service.

7.TERMINATION

Either party may terminate this Agreement with written notice if the other party breaches any material term or condition. Upon termination, any unpaid fees for completed work shall become immediately due.

8. CHARGES AND ADDITIONAL COSTS

Holiday Letology are not responsible for any expected or unexpected charges, refunds, or additional costs associated with the setup of this service

9.GOVERNING LAW:

This Agreement shall be governed by and construed in accordance with the laws of England and Wales..

By ticking the box on the order form, you confirm that you have read and agreed to these terms and conditions.

This Agreement constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior negotiations, understandings, and agreements, whether written or oral
