Holiday Letology Affiliate Programme Agreement

Thank you for joining the Holiday Letology Affiliate programme (hereinafter referred to as the "Affiliate programme"). By signing up, you agree to the terms and conditions outlined in this Agreement (hereinafter referred to as the "Agreement"). Please take a moment to carefully read and understand them before proceeding.

These Terms constitute a legal agreement between Holiday Letology Limited, a company incorporated under UK Law, and You.

The terms of this Agreement come into effect upon completion of your registration with Holiday Letology and remain in effect until terminated by either party. Either You or We may terminate this Agreement at any time, with or without cause, by providing notice of termination to the other party. Notice via email, sent to the address on our records, shall be considered sufficient notice to terminate this Agreement.

Definitions

  • "Holiday Letology" refers to a company owned, operated, or controlled by Holiday Letology Limited.

  • "Affiliate programme" denotes our marketing affiliate programme described in this Agreement.

  • "Agreement" refers to this marketing Affiliate programme Agreement and all referenced, linked, or attached materials.

  • "Commission" represents the amount specified in the Affiliate Tool for each Customer Transaction.

  • "Customer Transactions" encompass eligible transactions by Leads that qualify for Commission as outlined in the 'Customer Transactions' section of this Agreement. These transactions may include customer purchases or sign-ups, as further described in the Affiliate Tool.

  • "Lead" signifies a customer prospect who clicks on the Affiliate Link provided to You via the Affiliate Tool.

  • "Affiliate Tool" denotes the tool provided by us upon your acceptance into the Affiliate programme, which enables your participation.

  • "Affiliate Link" represents the unique tracking link that You place on your site or promote through other channels.

  • "We," "Us," "Our," "Holiday Letology Ltd," and "Holiday Letology" refer to Holiday Letology Limited.

  • "You" and "Affiliate" denote the party, other than Us, entering into this Agreement and participating in the Affiliate programme.

Nature of the Relationship

You and We are independent contractors, and nothing in this Agreement shall create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You shall not make any statement, whether on your site or otherwise, that would reasonably contradict anything stated in this Agreement.

Age Limit and Acceptance into the programme

To be accepted into Our Affiliate programme, You must: (i) be at least 18 years old and (ii) agree to the terms and conditions of this Agreement.

By signing up for the Holiday Letology Affiliate Tool as a user, client, or Affiliate, You confirm that You are over 18 years old and acknowledge that the terms and conditions of this

Agreement shall apply to You fully and effectively, unless terminated.

Once You have registered for the Affiliate programme, We will provide You with a URL link that

You must use to identify Yourself when placing a link from your site, email, or other communications to the Holiday Letology website. It is your responsibility to ensure that each of these links is correctly formatted.

Non-exclusivity Clause

This Agreement does not establish an exclusive relationship between You and Us. Both You and We have the right to recommend similar products and services offered by third parties and to collaborate with other parties.

Customer Transactions

1. Affiliate programme Limits: Each accepted Lead will expire within one year from the date the Lead clicked on the Affiliate Link that was made available by You.

A Lead may also expire if they click on an Affiliate Link provided by another Affiliate, excluding You. This is known as operating "on the last referrer" or "on the last cookie."

We will pay You a 30% Commission for each new Customer who completes an applicable Customer Transaction after clicking on an Affiliate Link You provided, provided that You remain eligible to receive Commission as outlined in this Agreement.

The start of the Customer's programme is determined by the date of their initial purchase or sign-up, and You will receive a Commission payment for that monthly/annual Customer Transaction, as well as any additional purchases made by that customer during their programme Service, unless the Lead clicks on another Affiliate Link after making the purchase.

2. Eligibility: To be eligible for Commission, the following conditions must be met: (i) a Lead must be accepted and valid; (ii) a Customer Transaction must occur; (iii) a Customer must remain a customer for at least a 30-day period or when any cooling off period ends, whichever is the greatest; and (iv) the Customer Transaction must not have been completed by You or any party affiliated with You, such as your employee, spouse, or family member.

You are not eligible to receive Commissions or any other compensation from Us if: (i) such compensation is disallowed or limited by any laws or regulations in the UK or your jurisdiction; (ii) the applicable Customer objects to or prohibits such compensation or requests a refund which is agreed while within the timeframe/terms stated in their contract; and (iii) the Commission payment has been obtained through fraudulent means, misuse of the Affiliate Link or Tool, violation of this Agreement, or any other means that We consider detrimental to the Affiliate programme.

We may discontinue Commission payments if any of these eligibility criteria fail to be met at any time.

3. Acceptance and Validity: You will only be eligible for a Commission payment for Customer Transactions derived from Affiliate Leads generated by the Affiliate Link We provide to You and accepted by Holiday Letology. An Affiliate Lead will be deemed valid and accepted if, in Our reasonable determination, they are (i) a real person and (ii) a new potential customer of Ours. Nevertheless, We reserve the right to decline an Affiliate Lead at our sole discretion.

If a Lead does not make any Customer Transactions within a time period of one year from their first click on the Affiliate Link, You will not be eligible for a Commission payment, even if the Lead decides to make a purchase after the expiration period. Additionally, a person clicking on the Affiliate Link for the first time after this Agreement has ended or come to an end is not a valid Affiliate Lead.

4. Engagement with Prospects: Once We have received the Lead information, We may choose to engage directly with the prospect, regardless of the Lead's validity. If a Lead is not deemed valid, We may still decide to maintain it in Our database and engage with such Lead. Any engagement between Us and a Lead will be at Holiday Letology's discretion.

5. Commission and Payment: To receive payment under this Agreement, You must: (i) agree to the terms of this Agreement; (ii) complete all necessary steps to create your account in the Affiliate Tool as instructed by Us; and (iii) have a valid and up-to-date payment method specified in the Affiliate Tool associated with your account.

6. Requirements for Payment; Forfeiture: We are not obligated to pay You Commission associated with a Forfeited Transaction. Once You fulfill all the requirements outlined in this section, You become eligible to receive Commission on Customer Transactions, provided that these transactions do not involve the same Customer associated with a Forfeited Transaction.

7. Commission Payment: We will determine the currency in which We pay the Commission, as well as the applicable conversion rate. We will not issue more than one Commission payment or similar referral fee for any given Customer Transaction unless We choose to do so at Our discretion.

8. Taxes: You are responsible for the payment of all applicable taxes and fees (including bank fees) related to the Commission.

9. Commission Amounts: We reserve the right to modify or adjust the Commission amount as indicated in the Affiliate Tool.

Brand Promotion:

You have the right to utilize the resources such as promotional material, logos and images (herein known as “resources”) We provide to You, with the following conditions:

  • You can only use Our resources in connection with the affiliate programme.

  • You may not use any competitor resources when promoting Holiday Letology.

  • You must not use our resources in a misleading manner or imply that We endorse, sponsor, or approve your services or products without Our prior consent.

  • You must not use Our in violation of applicable laws or in connection with obscene, indecent, or unlawful topics or materials.

  • You are solely responsible for ensuring that your reviews, product descriptions, and articles comply with all relevant copyright regulations and other laws. Holiday Letology will not be held responsible if You use copyrighted or trademarked material from another party in violation of the law.

  • You must promptly comply with any requests from Us to discontinue the use of Our resources.

Legal Stipulations:

You must comply with all applicable foreign and domestic laws, including export laws and laws governing unsolicited emails. You are responsible for ensuring that any third parties performing sales or referral activities on your behalf also comply with these laws. You agree not to engage in deceptive, misleading, illegal, or unethical marketing activities that may harm us, our customers, or the general public. The Holiday Letology Affiliate programme may be subject to the export laws and regulations of the United States, as well as other important export laws and regulations in your area.

Indemnification:

You will indemnify, defend, and hold us harmless at your expense against any third-party claim, suit, action, or proceeding brought against us based on your noncompliance or breach of this Agreement, or your misuse of any trademarks.

We will: (i) notify You in writing within thirty (30) days of becoming aware of any such claim; (ii) grant You sole control of the defense or settlement of the claim; and (iii) provide You with all requested information and assistance reasonably necessary to handle the defense or settlement of the claim.

You shall not accept any settlement that imposes an obligation on Us, requires Us to make an admission, or places restrictions on Us without Our prior written consent.

Governing Law and Jurisdiction:

This legal notice is governed by and construed in accordance with UK law. Disputes arising in connection with this legal notice are subject to the exclusive jurisdiction of the UK Courts.
